1. Agreement to Terms

By accessing or using AgentReadyHQ ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our Service.

2. Description of Service

AgentReadyHQ provides tools and services to help e-commerce merchants optimize their stores for AI shopping agents. Our services include:

• Free Agent Ready Score analysis tool
• Competitor comparison tools
• Educational content and optimization guides
• Consulting and implementation services
• Subscription monitoring services (Pro tier)

3. Account Registration

Some features may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating an account.

4. Free Services

Our free Agent Ready Score tool is provided "as is" without warranty. We reserve the right to modify, suspend, or discontinue free services at any time without notice. Free services may have usage limits that we can adjust at our discretion.

5. Paid Services

For paid services (Pro subscriptions, consulting, implementation):

• All fees are stated in US dollars unless otherwise specified
• Subscription fees are billed in advance on a monthly or annual basis
• Consulting and implementation services are billed according to the agreed scope
• You authorize us to charge your payment method for all applicable fees

6. Refund Policy

Subscriptions: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for unused portions of a billing period.

Consulting Services: A 50% deposit is required to begin work. The remaining balance is due upon completion. Refunds for consulting services are handled on a case-by-case basis.

Done-For-You Services: These services include a satisfaction guarantee. If you're not satisfied with our implementation, we will work with you to make it right or provide a partial refund at our discretion.

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Submit URLs that you don't own or have authorization to analyze
• Attempt to reverse engineer or copy our scoring algorithms
• Use automated systems to access the Service in a manner that exceeds reasonable use
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Collect user data without consent

8. Intellectual Property

The Service and its original content, features, and functionality are owned by AgentReadyHQ and are protected by international copyright, trademark, and other intellectual property laws. Our scoring methodology, algorithms, and reports are proprietary.

You may share your Agent Ready Score results publicly, but you may not claim our analysis methodology as your own or create derivative products based on our scoring system.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Results from the Service will be accurate or reliable
• Following our recommendations will guarantee improved visibility to AI agents
• Any specific outcome or result from using our services

AI commerce protocols (UCP, ACP) are evolving rapidly. Our analysis reflects current known standards but cannot guarantee future compatibility.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTREADYHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless AgentReadyHQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
